Acquisition Finance

The banking and finance department in our Aberdeen, Edinburgh and London offices advises a range of lenders and borrowers in respect of all aspects of acquisition finance in bi-lateral, club and syndicated transactions. Our advice covers transactions from leveraged buy-outs (including MBO's and MBI's) and corporate acquisitions to public to private transactions. We act for both senior lenders and mezzanine and junior debt providers as well as working closely with our corporate department in providing debt advice to acquiring borrowers and private equity investors. Our established working relationships within the Lex Mundi network mean that we are particularly well placed to deal with acquisition finance transactions with cross jurisdictional elements.

Our work includes:

• advising on the financing structure and documentation for the financing
• advising on available security, documentation and any related issues
• reviewing and advising on the impact to lenders of issues raised by diligence or disclosure exercises
• reviewing and advising lenders on the various underlying transactional documents
• in conjunction with our colleagues in the Lex Mundi network, advising on debt finance structuring to minimise the negative impact of local law on the effectiveness of security packages
